Software Dongle Licences (SDL) serve as a digital replacement for physical hardware security keys (dongles).
Upon purchase, an SDL is strictly bound to a single designated registered email address and authorised to run a single active server instance.
Strictly 1:1 Mapping:
Each SDL is limited to one registered login credential and one active server session at a time.
Multiple login emails or alias mappings cannot be associated with a single SDL.
Moving Between Computers:
To use an SDL on a different computer, log out of the server application on the first computer before logging in on the second; a login attempted while the licence is in use elsewhere will be refused.
If you are unable to log out (for example, due to hardware failure), contact us for assistance.
Shared Mailboxes:
If you elect to use a shared or generic company email address (e.g., info@ or licenses@) as the registered credential, you remain solely responsible for managing confirmation links, notices, and account access.
We bear no liability for internal access disputes arising from the use of shared mailboxes.
Email Updates:
While the licence remains tied to the original licensee, the registered email address may be updated under specific circumstances.
Please contact us directly for instructions and verification requirements to update your account details.
Non-Transferability:
SDL credentials and licences are non-transferable between separate legal entities or external organisations.
Where a licensee's business is acquired, advise us and, once the change is confirmed, we may update our records accordingly.
Circumvention:
Any attempt to clone, emulate, or circumvent the single-instance server limitation will result in immediate termination of the licence.
One-Time Selection:
The choice between a Software Dongle Licence (SDL) and a physical hardware dongle is a permanent, one-time selection made at the time of initial product purchase.
Ensure your deployment environment requirements are fully confirmed prior to completing your purchase.
No Conversion Between Formats:
Once an order is fulfilled as either an SDL or a physical hardware dongle, including products purchased before SDLs were introduced, it cannot subsequently be converted, swapped, or exchanged for the other format without purchasing a brand-new product.
Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded.
Software Dongle Licences and accompanying software products are covered by the Warranty Policy set out here. Subject to the paragraph above and to that Warranty Policy, and to the maximum extent permitted by law, all other warranties, express or implied, are excluded.
Online Requirement and Grace Period:
An SDL requires an internet connection to function.
The server may (but is not guaranteed to) continue to run for a limited period without internet access, after which it will shut down and not restart until an internet connection is re-established.
The length of this period is not fixed, may change without notice, and cannot be planned for by the customer. It is intended only to cover short interruptions such as ISP failures.
No Guarantee of Continuous Uptime:
While we endeavour to maintain robust authentication, we do not warrant that the digital licence verification server will be uninterrupted, error-free, or entirely immune to external network disruptions.
Exclusion of Implied Warranties:
We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You are responsible for selecting the software to achieve your intended results, and for the installation and operation of the server instance.
Subject to the paragraph on non-excludable rights in section 4, in no event shall Serendipity Software, its officers, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of data, production downtime, business interruption, or loss of profits, arising out of or in connection with the use, inability to use, or authentication failure of a Software Dongle Licence, even if advised of the possibility of such damages.
Authentication Failure Support:
In the event of an authentication failure, we will be available for support to work towards a resolution, but we cannot guarantee that a solution will be achieved. At our discretion, an interim demonstration licence or hardware dongle may be provided.
